The agreement between you and ScopeVeil. Prepaid credits, transparent passthrough billing, no surprise charges, you can leave any time.

1. Acceptance

These Terms govern your access to and use of ScopeVeil ("Service"). By creating an account or using the Service, you ("Customer") agree to these Terms. If you do not agree, do not use the Service.

If you are entering these Terms on behalf of a company, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Description of the Service

  • OpenAI-compatible API gateway routing to multiple upstream LLM providers.
  • TypeScript and Python SDKs that emit operational telemetry without transmitting prompt content.
  • Dashboard for usage analytics, cost breakdowns, API key management, billing.
  • Transparent passthrough billing of upstream provider costs plus a per-tier markup.

The Service is provided as software-as-a-service. Features may evolve; we will give reasonable notice for material changes.

3. Account registration

You must provide a valid email, password, and organization name. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be 18 or older. The Service is for business and professional use.

API keys (prefix scv_live_) are sensitive credentials. Do not share them in public repositories, client-side code, logs, or screenshots. You are solely responsible for charges under any compromised key. Revoke it immediately if exposed.

4. Acceptable use

You agree not to:

  • Violate any applicable law, regulation, or third-party right.
  • Transmit content that infringes, defames, harasses, or threatens any person.
  • Generate content that constitutes CSAM, terrorist propaganda, or other content prohibited by law.
  • Send malware or code designed to interfere with the Service or third-party systems.
  • Attempt to access another customer's account or API keys without authorization.
  • Reverse engineer non-open-source portions of the Service.
  • Bypass, disable, or interfere with security or rate-limiting features.
  • Resell, sublicense, or repackage the Service without our written consent.
  • Violate the acceptable use policy of any upstream provider we route to. Their AUP applies in addition to ours.

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

Transparent passthrough. ScopeVeil acts as a transparent passthrough proxy. We do not review, filter, moderate, or otherwise control the prompts you send or the completions returned by upstream providers. Compliance with applicable law and acceptable use policies is your responsibility. Upstream providers (OpenAI, Anthropic, Google, and others) may independently moderate content per their own policies; we forward those decisions to you without modification.

5. Billing: prepaid credit model

The Service operates on prepaid credits, denominated in US Dollars, purchased via Stripe. Credits are consumed as your account makes requests.

5.1 Pricing

Each request is charged at the upstream provider's published cost for tokens consumed, plus a markup percentage for your tier. Current markup tiers are listed at /pricing, subject to change with at least 30 days' notice.

5.2 Real-time charge

Each successful API call is recorded in our ledger immediately and reduces your available balance. Failed requests (HTTP 4xx/5xx where no upstream tokens were charged) are not billed. Partially completed streaming responses are billed only for tokens actually delivered.

5.3 Low balance and depletion

We send an alert email when your balance crosses a configurable threshold (no more than once per 24 hours). When balance reaches zero, requests are rejected with HTTP 402 Payment Required until you top up.

5.4 No automatic recharge

We do not auto-charge your card unless you explicitly enroll in auto-recharge from the dashboard. Settings are adjustable any time.

5.5 Taxes

Prices are exclusive of taxes. You are responsible for sales tax, VAT, or similar charges applicable in your jurisdiction.

5.6 Disputed charges

Use our contact form (topic "Billing") within 30 days of a charge you believe is incorrect. We will investigate and refund the disputed amount if confirmed.

6. Refunds

Unused credit balances are non-refundable except in the following cases:

  • Material service outage caused by ScopeVeil preventing use of purchased credits for more than 24 consecutive hours. We refund the affected period or credit your account at our discretion.
  • ScopeVeil terminates the Service generally and ceases operations. Unused credits refunded pro rata within 90 days.
  • Errors in our ledger or duplicate charges confirmed through dispute review.

7. Intellectual property

Our IP. The Service, including software, documentation, designs, trademarks, and logos, is owned by ScopeVeil. We grant you a limited, non-exclusive, non-transferable, revocable license to use it under these Terms.

Your content. You retain all rights to the content you send through the Service. We claim no ownership and do not store prompt or completion content (see Privacy Policy).

Open source. Some components of our SDKs are open-sourced under permissive licenses (MIT or Apache 2.0). Those licenses govern your use of those components.

Feedback. If you provide suggestions or feedback about the Service, you grant us a perpetual, royalty-free license to use it to improve the Service.

8. Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). Each agrees to use the other's Confidential Information only for performance under these Terms and to protect it with reasonable care. Information that is public, independently developed, or required to be disclosed by law is not confidential.

9. Disclaimers and warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that upstream LLM providers will deliver accurate, non-harmful outputs. LLM outputs may contain errors, biases, or hallucinations; you are responsible for evaluating their fitness for your use case.

No SLA on the default plan. Custom SLAs are available under separate written agreement for enterprise customers.

10. Limitation of liability

To the maximum extent permitted by law, ScopeVeil shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service.

Our total aggregate liability for any claim shall not exceed the greater of: (a) the amounts you paid to ScopeVeil in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

11. Indemnification

You agree to indemnify ScopeVeil against any claims, damages, liabilities, and reasonable attorney's fees arising out of (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any third-party right, or (d) content you transmit through the Service that violates law or any upstream provider's AUP.

Without limiting the foregoing, disputes between you and a third party regarding the content you transmit through the Service (including but not limited to claims of defamation, intellectual property infringement, publicity rights, privacy violations, or harmful or unlawful outputs) are solely between you and that third party. ScopeVeil is not a party to such disputes and will cooperate only as required by valid legal process (subpoena, court order, or equivalent).

12. Termination

You may terminate your account at any time from your account settings or via our contact form. Termination does not entitle you to a refund of unused credits except per Section 6.

We may suspend or terminate your account if you breach these Terms, exhibit fraudulent activity, fail to pay amounts owed, or if required by law. For material breaches we give 14 days' notice and a reasonable opportunity to cure when feasible.

Upon termination, your right to access the Service ceases. We retain data only as required by law (see Privacy Policy, Section 6).

13. Governing law and disputes

These Terms are governed by the laws of Brazil, without regard to its conflict of laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

The parties will first attempt to resolve any dispute through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration conducted in English. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

14. Changes to these Terms

We may update these Terms. The "Last updated" date at the top reflects the current version. For material changes we notify by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy and any signed enterprise agreement) constitute the entire agreement between you and ScopeVeil.
  • Severability. If any provision is held invalid, the remaining provisions remain in effect.
  • No waiver. Failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our consent. We may assign freely in connection with a merger or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
